1. Agreement to Terms

By accessing or using the services of Planexi Global Consult ("Planexi", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Company Information

Planexi Global Consult is a business consulting firm registered in Nigeria with Corporate Affairs Commission (CAC) registration number BN 8572471. Our services include business consulting, HR consulting, project execution, talent development, and digital strategy services.

3. Services

We provide consulting and advisory services to small and medium enterprises (SMEs), startups, nonprofits, corporations, and individual founders. Our services include but are not limited to:

• Business and HR consulting
• Project and program execution
• Talent development and training
• Digital strategy and web development
• Organizational design and capacity building

Specific terms, deliverables, timelines, and fees for each engagement will be outlined in a separate service agreement or statement of work.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver services
• Cooperate with our team and provide timely feedback
• Make payments according to agreed terms and schedules
• Respect confidentiality and intellectual property rights
• Use our services and deliverables in compliance with applicable laws

5. Payment Terms

Payment terms will be specified in your service agreement. Generally:

• Fees are due according to the payment schedule in your agreement
• Late payments may incur interest charges as specified
• All fees are non-refundable unless otherwise stated in writing
• We reserve the right to suspend services for overdue accounts

6. Intellectual Property

Unless otherwise agreed in writing:

• All work products, deliverables, and materials created by Planexi remain our intellectual property until full payment is received
• Upon full payment, ownership of custom deliverables transfers to the client as specified in the service agreement
• Our methodologies, frameworks, templates, and proprietary tools remain our intellectual property
• You may not reproduce, distribute, or use our proprietary materials without written permission

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the engagement. This obligation continues after the engagement ends, except where disclosure is required by law or with written consent.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" and we make no warranties beyond those explicitly stated
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees paid for the specific service in question
• We are not responsible for business decisions made based on our advice

9. Termination

Either party may terminate an engagement with written notice as specified in the service agreement. Upon termination:

• You remain responsible for fees for work completed up to the termination date
• We will deliver work products completed up to that point
• Confidentiality obligations continue

10. Website Use

When using our website:

• You may not use the website for any unlawful purpose
• You may not attempt to gain unauthorized access to any part of the website
• You may not transmit any viruses, malware, or harmful code
• We reserve the right to restrict access to the website at our discretion

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of Nigeria. Any disputes will be subject to the exclusive jurisdiction of Nigerian courts.
